Terms of Service

Privacy Policy Terms of Service POPIA Notice

Please read these Terms of Service carefully before engaging DigMe Solutions (Pty) Ltd (“DigMe”, “we”, “our”) to provide services. By signing an engagement letter or instructing us to proceed with any work, you agree to these terms.

1. Our Services

DigMe provides accounting, bookkeeping, tax compliance, payroll, cloud accounting, and related financial services to individuals and businesses in South Africa. The specific scope of services provided to you is set out in your individual engagement letter, which forms part of our agreement.

2. Our Obligations

We will:

  • Provide services with reasonable care, skill, and diligence
  • Maintain the confidentiality of your financial and personal information
  • Comply with SAIPA professional standards and applicable South African law
  • Communicate material developments in your financial affairs promptly
  • Notify you of upcoming deadlines relevant to your engagement

3. Your Obligations

To enable us to provide services effectively, you agree to:

  • Provide accurate, complete, and timely information and documentation when requested
  • Notify us promptly of any changes to your business, personal circumstances, or tax status
  • Review and approve documents, returns, and reports within the timeframes we specify
  • Pay our fees by the due dates set out in your invoices
  • Retain source documents (invoices, bank statements, payroll records) as required by law

You remain responsible for the accuracy and completeness of information provided to us. We prepare returns and financial statements based on the information you supply. We cannot be responsible for errors arising from incorrect or incomplete information provided by you.

4. Fees and Payment

Our fees are as set out in your engagement letter or as agreed in writing. Unless otherwise stated:

  • Invoices are due within 30 days of the invoice date
  • We reserve the right to charge interest on overdue accounts at the rate of 2% per month
  • We may suspend services where invoices remain unpaid for more than 60 days
  • Out-of-scope work will be quoted and agreed before being undertaken

5. Confidentiality

We treat all client information as strictly confidential. We will not disclose your information to third parties except as required to deliver our services (e.g., submitting returns to SARS or CIPC), as required by law or regulation, or with your express written consent.

Our confidentiality obligations do not apply to information that is already in the public domain or that we are legally obliged to disclose to a regulatory authority.

6. Intellectual Property

All working papers, methodologies, templates, and tools developed by DigMe remain our intellectual property. Financial statements, tax returns, and reports prepared specifically for you are provided for your use but may not be reproduced or distributed without our consent.

7. Limitation of Liability

To the maximum extent permitted by South African law:

  • Our liability for any claim arising from our services is limited to the fees paid by you for the specific service giving rise to the claim, in the 12 months preceding the claim
  • We are not liable for any indirect, consequential, or punitive damages
  • We are not liable for losses arising from your failure to provide accurate information, your failure to respond to requests timeously, or events outside our reasonable control
  • We are not liable for SARS penalties, interest, or assessments arising from positions you instructed us to take against our written advice

8. Termination

Either party may terminate the engagement by giving 30 days’ written notice. On termination:

  • All outstanding fees become immediately payable
  • We will provide a reasonable handover to your new accountant
  • We will retain copies of your records for the statutory retention periods described in our Privacy Policy

We may terminate immediately if you fail to pay fees, provide materially false information, or ask us to act contrary to law or our professional standards.

9. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes will be subject to the jurisdiction of the South African courts.

10. Changes to These Terms

We may update these Terms of Service periodically. Updated terms apply to new engagements and to existing engagements from 30 days after we notify you of the changes.
